Welcome to Merlin Dispatch Solutions. These Terms and Conditions (“Terms”) govern your access to and use of our dispatch services, website, and related tools. By using our services, you agree to be bound by these Terms. Please read them carefully.

1. Services Overview

Merlin Dispatch Solutions provides third-party dispatch services to independent owner-operators and small fleet carriers. We assist with:

• Load sourcing and negotiation

• Broker and shipper communication

• Paperwork and documentation

• Route planning and support

We do not provide freight brokerage, transportation, or legal representation.

2. Client Requirements

To work with us, you must:

• Operate under your own active MC authority and USDOT number

• Maintain valid insurance and permits

• Own or lease a qualifying truck/trailer (Dry Van, Reefer, Flatbed, Box Truck, etc.)

• Comply with FMCSA and DOT regulations

Failure to maintain these requirements may result in immediate termination of our services.

3. Service Fees

Our dispatch services are charged as a percentage of the gross load rate or as a flat weekly/monthly fee (as agreed in writing). All service fees will be discussed and approved before load booking. Payments are due as per the agreement and are non-refundable once services are rendered.

4. Load Approval

Merlin Dispatch Solutions will never accept or confirm any load without your express approval. You have full control over the loads you choose to haul. We operate on a no forced dispatch model.

5. Broker Relationships and Liability

While we work with vetted brokers and shippers, Merlin Dispatch Solutions is not responsible for:

• Delayed or withheld broker payments

• Load cancellations or rescheduling by third parties

• Disputes between you and the broker/shipper
  We will, however, assist in communicating and resolving such issues to the best of our ability.

6. Use of Website and Digital Tools

All content on our website, including logos, text, graphics, and forms, is the property of Merlin Dispatch Solutions. You may not copy, modify, or use any part of the site without our written consent.

7. Confidentiality

We respect your privacy and will not share your personal or business information with third parties, except as required to book freight or comply with regulations. We expect the same confidentiality regarding our processes, broker relationships, and pricing.

8. Termination of Services

You may cancel services at any time with written notice. Merlin Dispatch Solutions reserves the right to terminate services for:

• Non-payment

• Fraudulent activity

• Unsafe or non-compliant driving practices

• Repeated failure to follow through on accepted loads

9. Disclaimers

We do not guarantee specific income, number of loads, or delivery times. While we strive for accuracy and performance, freight availability and market conditions vary and are beyond our control.

10. Governing Law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law principles.
